hdd fat32 or ntfs

Is there anyway that i can change my hdd 40gig
to ntfs from fat32 without reformatting and losing everything?
other question would i gain anything from doing it

Presuming you're on Win2K or XP, FAT32 to NTFS is possible, Microsoft actually provide a tool to do it.

There's more details on Microsoft's Pages.

Advantages? There are some, but probably won't benefit you really.

I quote from the NT/XP help file:

convert [drive:] /fs:ntfs [/v]

Parameters

drive:

Specifies the drive to convert to NTFS.

/fs:ntfs

Specifies that the volume be converted to NTFS.

/v

Specifies verbose mode. All messages will be displayed during conversion.

Partition magic also does a good job of this if the dos shell scares you.
