I'm not entirely sure it means anything to be honest. Toshiba and Sony were working on a joint venture last year, so this appears to be the culmination of it. Don't forget that Toshiba, IBM and Sony were involved in the construction of the Cell processor.

Does Sony retain Cell Mfg. plants or will Sony now buy them from Toshiba?

I don't think so, Sony has said in the past that it doesn't really want to be in the business of making processors. It's not their normal area of expertise.

So this deal doesn't include a foundry. Shuh, how could it for such a paltry sum?

Actually, it's my understanding that it DOES include a foundry. Toshiba are in the business of making chips; Sony aren't. It would make sense for Sony to sell Toshiba the plant in exchange for a certain amount of money and a sweetheart deal on the chips that Sony expects to need in the future. In addition, Toshiba might be able to work out a deal with Microsoft to do some component manufacturing for them on the XBox360. Further, I believe Toshiba have plans for using the Cell in set-top boxes and other applications.
